# Railway Enterprise Customer Agreement

## What the ECA covers

- **Scope & order forms.** How the ECA is incorporated alongside the order form(s) that define a customer's plan, region, support tier, and pricing.
- **Services.** The Railway compute, storage, networking, and database services made available to enterprise customers, including private networking, single sign-on, and audit logging.
- **Use restrictions.** Permitted use of the services and prohibitions consistent with the Acceptable Use Policy at https://railway.com/legal/acceptable-use.
- **Customer data.** Ownership of customer data, the license Railway needs to operate the service, security commitments, and the Data Processing Addendum at https://railway.com/legal/dpa.
- **Subscription term, fees, taxes.** Commitments, renewals, invoicing cadence, and tax responsibilities.
- **Support & service levels.** Support response times and platform uptime commitments for enterprise plans (see https://railway.com/pricing and the order form for the specific SLA tier).
- **Confidentiality.** Mutual confidentiality obligations.
- **Warranties.** Service warranty, customer warranties, and disclaimers.
- **Indemnification.** Reciprocal indemnification obligations for IP claims and third-party damages.
- **Limitation of liability.** Caps on direct and indirect damages.
- **Term & termination.** Term length, termination for convenience and for cause, and data export on termination.
- **Compliance.** Export controls, anti-bribery, and applicable sanctions.
- **Governing law & disputes.** Choice of law and dispute resolution mechanism.
- **General.** Notices, assignment, force majeure, severability, and entire-agreement clauses.
